Palmers plays crucial role in merger of colleges

Palmers’ commercial team has played a crucial role in enabling the recent merger of local sixth form colleges.

Carey Jacobs, a Partner in Palmers, acted for the William Palmer College Educational Trust and led the negotiations for the grant of a lease by the Trust to the new merged entity, an amalgamation of Palmer’s College and Seevic College.

The legal arrangements also necessitated advice on Charity Law from Chris Mowat, a consultant at the firm, with Clive Tant, adviser to the Trust, involved throughout.

Following the agreement to move towards the merger, reached earlier in the year, it was critical for the transaction that the Trust was in a position to able to complete the grant of a lease of the Palmer’s College site at midnight on 1st August 2017, triggering completion of the merger.

Brian Little, Chair of the William Palmer College Educational Trust, said: “Carey Jacobs was brilliant throughout the transaction. The stakes at hand were enormous and she went above and beyond to help ensure a satisfactory lease was agreed and completed according to the deadline. Her advice was vital in bringing about a successful outcome.

“In addition to negotiating on behalf of the Trust, Carey also provided detailed summary reports for me to use so that I could update my fellow Trustees and was available outside normal business hours to discuss developments.

“It was also necessary to gain the approval of the Charity Commission for the grant of lease and Chris Mowat advised the Trust in this regard. Meanwhile, Clive Tant as legal adviser to the Trust, played an instrumental role in guiding the trustees throughout the duration of the matter; his inordinate patience was very much appreciated by us all.

“I was struck by the sheer amount of time Carey, Chris and Clive dedicated to the case, including a whole full-time working week immediately before the conclusion of the matter.”
